1. Agreement to These Terms
By creating an account, starting a free trial, or using any part of the menus.eco platform and services (collectively, the "Services"), you ("you," "your," or "User") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which are incorporated by reference.
If you are agreeing to these Terms on behalf of a business or other legal entity (e.g., a restaurant, food truck, or hospitality operator), you represent that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to that entity.
If you do not agree to these Terms, do not use the Services.
menus.eco is operated by menus.eco ("we," "us," or "our").
2. Description of Service
menus.eco is a software-as-a-service (SaaS) platform that enables food service businesses to:
- Convert paper menus into digital menus using AI-assisted processing
- Create, edit, and manage digital menus accessible via QR code
- Schedule and manage multiple menu variants (e.g., lunch, dinner, seasonal)
- Customize menus with brand colors, fonts, photos, and layout
- Share menus via QR codes, links, and social platforms
- Update menu items, prices, and availability in real time without reprinting
The Services are designed to reduce dependence on single-use printed menus and support a more sustainable, efficient approach to restaurant menu management.
3. Eligibility
You must be at least 18 years of age to create an account and use the Services. By using the Services, you represent and warrant that you meet this age requirement and that all information you provide is accurate, current, and complete.
The Services are intended for restaurant owners, food truck operators, catering businesses, and similar food service professionals. Use of the Services for personal, non-commercial purposes is permitted but not the primary intended use case.
4. Account Registration
4.1 Account Creation
To access the full Services, you must register for an account. You agree to provide accurate, complete, and current information during registration and to keep that information updated.
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Notifying us immediately at support@menus.eco if you suspect unauthorized access
We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.
4.3 One Account Per Business
Each account is for a single business entity. You may not share, transfer, or sublicense your account to any third party without our prior written consent.
5. Subscriptions and Payment
5.1 Subscription Plans
menus.eco offers subscription plans on a monthly or annual basis. Current pricing is displayed on our website at menus.eco/pricing. We reserve the right to modify pricing with at least 30 days' advance written notice sent to your registered email address.
5.2 Billing
- Monthly plans are billed on the same day of each month.
- Annual plans are billed on the same day each year.
- Payment is collected in advance at the start of each billing period.
- All fees are in US Dollars (USD) unless otherwise stated.
5.3 Payment Processing
Payments are processed securely by our third-party payment processor. By providing a payment method, you authorize us to charge all fees when due. You represent that you are authorized to use the payment method provided.
5.4 Taxes
You are responsible for all applicable taxes, levies, or duties imposed by any governmental authority in connection with your subscription. menus.eco will add applicable sales tax or VAT where required by law.
5.5 Failed Payments
If a payment fails, we will retry the charge and notify you by email. Accounts with outstanding unpaid balances may be suspended until payment is resolved. We are not liable for any disruption to your business resulting from account suspension due to non-payment.
5.6 Price Changes
We will notify you of any price changes at least 30 days in advance. Continued use of the Services after the effective date of a price change constitutes your acceptance of the new pricing. If you do not accept the new pricing, you may cancel your subscription before the new rate takes effect.
6. Free Trial
6.1 Trial Period
We offer a 30-day free trial for new accounts. No credit card is required to begin the trial.
6.2 Trial Limitations
Trial accounts have access to the full feature set unless otherwise noted. We reserve the right to modify trial features at any time.
6.3 Conversion
At the end of the trial period, you will be prompted to enter payment information to continue using the Services. If you do not subscribe, your account and associated menu data may be deactivated.
7. Money-Back Guarantee
If you are unsatisfied with the Services for any reason, you may request a full refund within 30 days of your first paid subscription charge. To request a refund, contact us at support@menus.eco with your account email and a brief reason for the request.
Refund requests made after the 30-day window will be reviewed on a case-by-case basis and are not guaranteed. No refunds are issued for:
- Partial subscription periods after the 30-day window
- Annual subscriptions once the 30-day guarantee period has passed
- Accounts suspended or terminated for violations of these Terms
8. Cancellation
8.1 How to Cancel
You may cancel your subscription at any time from your account dashboard or by emailing support@menus.eco. Cancellation takes effect at the end of your current paid billing period.
8.2 Effect of Cancellation
Upon cancellation:
- You retain access to the Services through the end of your paid period
- Your QR codes will cease to display menus after the period ends
- Your account data (menu content, settings) is retained for 30 days, after which it may be permanently deleted
We recommend exporting your menu data before cancelling if you wish to retain records.
8.3 No Pro-Rated Refunds
Except as described in the 30-day money-back guarantee, we do not provide pro-rated refunds for unused portions of a subscription period.
9. Your Content
9.1 Ownership
You retain full ownership of all menu content, images, text, pricing, branding, and other materials you upload or create through the Services ("Your Content"). We claim no ownership rights over Your Content.
9.2 License to Us
By uploading or submitting Your Content, you grant menus.eco a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, display, and distribute Your Content solely for the purpose of:
- Operating and providing the Services to you
- Displaying your digital menus to diners who scan your QR codes
- Technical operations including backups, indexing, and caching
This license terminates when you delete the content or close your account, subject to reasonable technical processing time.
9.3 Content Responsibility
You are solely responsible for Your Content. You represent and warrant that:
- You own or have the necessary rights and licenses to all content you upload
- Your Content does not infringe any third-party intellectual property rights
- Your Content does not contain false, misleading, defamatory, obscene, or illegal material
- Menu pricing and descriptions you publish are accurate and comply with applicable law
9.4 Menu Accuracy
menus.eco is not responsible for verifying the accuracy of menu content, including pricing, allergen information, or item availability. You are solely responsible for ensuring your published menus are accurate and up to date.
10. Intellectual Property
10.1 Our Platform
menus.eco, including its software, technology, design, AI models, algorithms, APIs, user interface, documentation, and all related intellectual property, is owned by menus.eco and protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted to you are reserved.
10.2 Limited License to You
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription term, solely for your lawful, internal business purposes in connection with managing your food service business menus.
10.3 Restrictions
You may not, and may not allow others to:
- Copy, reproduce, distribute, or create derivative works from the platform or its software
- Reverse engineer, decompile, disassemble, or attempt to extract the source code of the platform
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices
- Use the Services to build a competing product or service
- Access the Services using automated bots, scrapers, or crawlers (except as permitted by our API terms, if any)
- Sublicense, resell, or transfer access to the Services without our written consent
10.4 Feedback
If you provide us with suggestions, ideas, feature requests, or other feedback regarding the Services ("Feedback"), you grant us an irrevocable, perpetual, royalty-free license to use, modify, and incorporate that Feedback into our products and services without obligation to you.
10.5 Our Brand
You may not use the menus.eco name, logo, or trademarks for any purpose without our prior written consent, except to truthfully state that you are a menus.eco customer.
11. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not use the Services to:
- Publish false, fraudulent, or deceptive menu content or pricing
- Violate any applicable local, state, national, or international law or regulation
- Infringe the intellectual property, privacy, or other rights of any third party
- Upload or transmit viruses, malware, or other harmful code
- Attempt to gain unauthorized access to the platform, other accounts, or our systems
- Interfere with or disrupt the integrity or performance of the Services or related infrastructure
- Use the platform to send spam or unsolicited commercial communications
- Harvest or collect data about other menus.eco users without authorization
- Impersonate any person, business, or entity
- Engage in any activity that damages or brings disrepute to menus.eco or the .eco ecosystem
We reserve the right to investigate suspected violations and take any action we deem appropriate, including suspending or terminating accounts without prior notice.
12. Prohibited Business Types
The following types of businesses may not use menus.eco without express prior written consent:
- Businesses primarily engaged in the sale of alcohol, tobacco, cannabis, or controlled substances (incidental beverage service at restaurants is permitted)
- Adult entertainment businesses
- Businesses whose primary product or service is not food or beverages
- Businesses involved in illegal activity of any kind
We reserve the right to determine whether a business type is prohibited at our sole discretion.
13. Service Availability and Modifications
13.1 Uptime
We aim to provide reliable, high-availability service but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to maintenance, upgrades, or circumstances beyond our control.
13.2 Modifications
We reserve the right to modify, update, or discontinue any feature, aspect, or portion of the Services at any time. For material changes that negatively affect your use of the Services, we will provide reasonable advance notice.
13.3 No Liability for Downtime
We are not liable for any loss of business, revenue, or data resulting from planned or unplanned service interruptions.
14. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
- WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR AI-GENERATED OUTPUT
- WARRANTIES THAT THE SERVICES WILL MEET YOUR SPECIFIC BUSINESS REQUIREMENTS
AI-Generated Content Disclaimer: Our AI-assisted menu conversion feature produces output based on pattern recognition. AI-generated menu content (item names, descriptions, prices) may contain errors or inaccuracies. You must review, verify, and approve all AI-generated content before publishing your menu. menus.eco is not responsible for errors in AI-generated output.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MENUS.ECO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
- LOSS OF DATA OR DATA CORRUPTION
- DAMAGE TO REPUTATION OR GOODWILL
- COST OF SUBSTITUTE SERVICES
IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO MENUS.ECO IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $50 USD.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
16. Indemnification
You agree to defend, indemnify, and hold harmless menus.eco and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Services in violation of these Terms
- Your Content, including any claim that Your Content infringes third-party rights
- Your violation of any applicable law or regulation
- Your negligence, misconduct, or fraud
- Any claim by a diner or customer related to menu content you published
17. Termination
17.1 Termination by You
You may terminate your account at any time by cancelling your subscription and requesting account deletion. Termination takes effect at the end of the current billing period unless you request immediate deletion.
17.2 Termination by Us — For Cause
We may suspend or terminate your account immediately, without prior notice, if:
- You materially breach these Terms and fail to cure within 5 business days of notice
- You engage in fraudulent, abusive, or illegal conduct
- Your use of the Services poses a security or legal risk to us or other users
- You become insolvent, file for bankruptcy, or are subject to insolvency proceedings
- Continued association with your account would harm the reputation of menus.eco or the .eco domain ecosystem
17.3 Termination by Us — Without Cause
We reserve the right to terminate your account without cause with 30 days' written notice. In such case, we will provide a pro-rated refund of prepaid fees for the unused portion of your subscription period.
17.4 Effect of Termination
Upon termination:
- Your right to access the Services ceases immediately (or at the end of the notice period)
- Your QR codes will stop displaying menus
- Your account data is retained for 30 days and then permanently deleted
- Provisions of these Terms that by their nature should survive termination (including Sections 9, 10, 15, 16, 18, 19, and 20) will continue in effect
18. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any legal action or proceeding arising out of or related to these Terms or the Services must be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of such courts.
For EU/EEA Users: Nothing in these Terms limits your right to bring claims before the courts of your country of residence or to seek consumer protection remedies available to you under applicable EU law.
19. Dispute Resolution
19.1 Informal Resolution
Before initiating any formal legal proceeding, both parties agree to attempt to resolve any dispute informally by contacting support@menus.eco and providing a written description of the issue. We will make a good-faith effort to resolve the matter within 30 days.
19.2 Binding Arbitration (US Users)
For users located in the United States, any unresolved dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in English, and any award shall be final and binding.
Class Action Waiver: YOU AND MENUS.ECO AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
19.3 Small Claims Exception
Nothing in this Section prevents either party from bringing an eligible dispute in small claims court.
19.4 EU/EEA Users
Mandatory arbitration and class action waivers do not apply to EU/EEA users where prohibited by law. EU consumers may access online dispute resolution at https://ec.europa.eu/consumers/odr.
20. General Provisions
20.1 Entire Agreement
These Terms and our Privacy Policy constitute the entire agreement between you and menus.eco regarding the Services and supersede all prior agreements, understandings, and communications.
20.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
20.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
20.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, or sale of assets, with 30 days' notice to you.
20.5 Notices
Notices from us will be sent to the email address associated with your account. Notices from you to us should be sent to legal@menus.eco. Notices are effective upon receipt.
20.6 Force Majeure
Neither party is liable for failure or delay in performance resulting from causes beyond their reasonable control, including natural disasters, pandemics, government actions, cyberattacks, or internet infrastructure failures.
21. Changes to These Terms
We reserve the right to update these Terms at any time. When we make material changes, we will:
- Update the "Last Updated" date at the top of this document
- Send email notice to all registered account holders
- Where required, obtain your renewed consent before changes take effect
Your continued use of the Services after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Services and cancel your subscription before the new Terms take effect.
